Terms of Service

1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of the Hodos360 marketing and operations platform, including our social media manager, ads manager, blog generation, image and video generation, voice agents, video agents, law firm management tools, related websites, mobile applications, and any associated services (collectively, the "Services") provided by Hodos360 PLLC, a Puerto Rico professional limited liability company with offices at:

("Hodos360," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy (together, the "Agreement"). If you do not agree, you must not use the Services.

2. Eligibility and Business Use

• You must be at least 18 years old and capable of forming a binding contract to use the Services.
• The Services are intended for business and professional use in the United States (including Puerto Rico). If you access the Services from another jurisdiction, you do so at your own risk and are responsible for compliance with local law.
• The Services are not designed for consumer use in a purely personal/household context. If you provide access to consumers, you are solely responsible for complying with applicable consumer and privacy laws.

3. Accounts and Security

You may need to create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• Restricting access to your account and devices; and
• All activities that occur under your account.

You must promptly notify us of any actual or suspected unauthorized access or security incident involving your account or the Services. We may suspend, restrict, or terminate accounts that we reasonably believe are compromised, inactive, or in violation of this Agreement.

4. Description of Services

Hodos360 provides a suite of tools and managed services, which may include:

• Social Media Manager – Tools to create, schedule, and publish content across platforms such as Facebook, Instagram, YouTube, TikTok, X, and Threads using integrations you authorize.
• Ads Manager – Tools that connect to your Meta Ads, Google Ads, and other advertising platforms to create, manage, and optimize campaigns.
• Blog Generation and Publishing – AI-assisted generation of blog posts and related SEO content, which can be published directly to your website or content management systems you connect.
• Image and Video Generation – AI-assisted tools to create marketing images, videos, and other media assets.
• Voice Agents and Video Agents – AI or scripted agents capable of interacting with leads and customers (for example, via phone, web, or messaging), including inbound and outbound communication, subject to applicable law.
• Law Firm Management Tools – Tools for law firms to manage leads, clients, matters, workflows, and communications, including integrations with marketing and communication features.
• Managed / Professional Services – Optional "done-for-you" services where Hodos360 personnel configure, manage, or operate campaigns, agents, content, or systems on your behalf.

5. Third-Party Platforms and Integrations

The Services integrate with third-party platforms and services that you choose to connect ("Third-Party Platforms"). You are solely responsible for:

• Maintaining active accounts with Third-Party Platforms;
• Complying with their terms, policies, and acceptable use rules;
• Configuring integrations and permissions correctly; and
• Any data you transmit to or from such platforms.

6. Subscriptions, Fees, and Payment

• Subscription Plans: Certain Services are provided on a subscription basis (monthly, annually, or as otherwise stated when you sign up).
• Fees: You agree to pay all fees and charges associated with your Subscription or other Services, as displayed at checkout or in your order form, plus any applicable taxes.
• Billing and Auto-Renewal: Subscriptions typically renew automatically unless you cancel in accordance with our cancellation policy.
• Late Payments: If you fail to pay amounts due, we may suspend or limit your access to the Services.

Unless we expressly say otherwise in writing or are required by law, all fees are non-refundable.

7. Use of AI and Generated Content

Parts of the Services use artificial intelligence, machine learning, and automation. You understand and agree that:

• AI output may be inaccurate, incomplete, offensive, biased, or otherwise problematic;
• Generated content is not guaranteed to comply with marketing, advertising, professional conduct, or legal standards; and
• You are responsible for reviewing, editing, and approving all content prior to publishing or use.

8. User Responsibilities and Acceptable Use

You must not, and must not permit any third party to:

• Use the Services in violation of any applicable law, regulation, or industry standard;
• Use the Services to create, transmit, or publish illegal, fraudulent, or misleading content;
• Attempt to gain unauthorized access to, interfere with, disrupt, or compromise the integrity or security of the Services;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services;
• Use the Services to build a competing product or service.

9. Voice, Call, SMS, and Communication Features

If you use voice agents, video agents, SMS, telephony, or similar communication tools through the Services, you are solely responsible for compliance with all applicable laws and regulations.

10. Law Firm and Professional-Services Use

If you are a law firm, attorney, or other professional services provider: Hodos360 is not a law firm and does not provide legal advice. Nothing in the Services or our communications is intended to create an attorney-client relationship with Hodos360.

11. Intellectual Property

The Services and all related content, software, interfaces, designs, trademarks, and logos are owned by Hodos360 or its licensors and are protected by intellectual property laws. Subject to your compliance with this Agreement, Hodos360 grants you a limited, non-exclusive, non-transferable license to access and use the Services during your Subscription term.

12. Confidentiality and Security

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential. Each party will use the other party's Confidential Information only as necessary to perform its obligations under this Agreement. Hodos360 implements technical and organizational measures designed to protect the security of the Services and Customer Content.

You agree to defend, indemnify, and hold harmless Hodos360 and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of the Services, your violation of this Agreement or applicable law, or your Customer Content.

16. Suspension and Termination

You may terminate your Subscription as described in your plan or order, typically effective at the end of the then-current term. We may suspend or terminate your access if you materially breach this Agreement. Upon termination, your right to access the Services will cease.

17. Governing Law and Venue

This Agreement is governed by the laws of the Commonwealth of Puerto Rico and, where applicable, the federal laws of the United States, without regard to conflict of laws principles. Any dispute shall be brought exclusively in the state or federal courts located in San Juan, Puerto Rico.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
